Master Service Agreement

This page is a summary of the Master Service Agreement (MSA) that governs paid engagements with AtlasForge. The full document is 10 pages, reviewed with every new client before signing, and countersigned alongside each project's Statement of Work.

What the MSA covers

  • Scope: the work AtlasForge performs is documented in each SOW; the MSA is the parent framework.
  • Payment: Net 7. Stripe Invoice for one-time fees, Stripe Subscription for retainers.
  • IP: client owns all code and content on payment of the launch invoice.
  • Contractor-retained rights: generic components, templates, and internal packages remain AtlasForge property.
  • Confidentiality: both parties protect non-public information. 3-year survival.
  • Liability: capped at 12 months of fees paid by client to contractor.
  • Termination: 30 days' notice for convenience, 14 days for cause with cure period.
  • Publicity: AtlasForge may reference the completed project in portfolio and case studies, subject to client opt-out.
  • Governing law: Ontario, Canada.

Why it's short

Legal documents written to impress a judge usually confuse the buyer. We optimize for the buyer's understanding. If you sign something you don't understand, you're going to feel lied to when something goes wrong. This MSA is 10 pages of English that anyone can read.

Request the full MSA at rj@atlasforge.one. We send it by email as a PDF. Your counsel can review. Changes can be negotiated before signing. If your organization has a standard MSA form, we typically sign on that too, the substantive clauses above are what matter.
